Please read these terms carefully before using the NextHolder platform. These terms govern your use of our services and establish the legal relationship between you and NextHolder.

Welcome to NextHolder

These Terms of Service ("Terms") govern your use of the Next Holder platform and services.

Welcome to NextHolder, a property, booking, and service management platform for Bangladesh. These Terms of Service constitute a legally binding agreement between you and NextHolder regarding your use of our website, dashboards, APIs, future mobile apps, and related services.

By creating an account, accessing public marketplace pages, listing property, requesting bookings, creating service requests, applying as a Service Pro, or using any dashboard feature, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using NextHolder, you agree to these Terms of Service. If you do not agree, you must not use the platform. These terms apply to public marketplace pages, dashboards, property management tools, booking tools, service request tools, Service Pro application flows, subscriptions, credits, communications, and any future mobile or admin products connected to the same account.

2. Platform Scope and Definitions

"Platform" means the NextHolder website, dashboards, APIs, future mobile apps, and related services. "User" means any person using the platform. "Landlord" means a user managing, listing, renting, selling, or booking out property. "Tenant" means a user searching, renting, buying, booking, or requesting services. "Service Pro" means a user approved or being reviewed to provide property-related services. "Service request" means a customer problem/request sent to one or more providers; it is not the same as property booking.

3. Accounts, Roles, and Access

A normal user account may operate as both landlord and tenant. If a user applies for and receives Service Pro access, the same account may also switch to the Service Pro workspace. You are responsible for protecting your login credentials, using the correct role for each action, and ensuring all profile and contact information is accurate. We may require login or registration before private pages such as the Service Pro application form can be used.

4. Property Listings, Search, and Location Data

Landlords must have the legal right to list and manage each property. Listings may be marked for rent, sale or booking. Property details, price, photos, amenities, address, thana/upazila, map coordinates, unit information, and availability details must be accurate and updated when circumstances change. Map and area data may be generated from third-party services or user input, and users must correct any wrong thana/upazila or address information before relying on it.

5. Rent, Sale, and Property Management

NextHolder provides tools for property management, listing, tenant assignment, rent-related work, sale-related work, maintenance communication, messages, and profile-level continuity features. Unless expressly stated, NextHolder is not a party to rental contracts, sale agreements, tenancy decisions, ownership transfer decisions, or inheritance/legal succession matters. Users are responsible for verifying identity, ownership, authority, documents, payment obligations, and local legal compliance before entering any transaction.

6. Booking Properties and Event Spaces

Booking features support properties listed for booking, including event spaces, hospitality spaces, open spaces, recreation spaces, halls, units, and time slots. A customer may request one or more continuous time slots and one or more units where available. Availability colors, calendars, schedules, maintenance blocks, pending requests, and booking statuses are provided for convenience but final acceptance may require owner confirmation. Property owners must keep unit, time slot, pricing, maintenance, discount, and availability information current. Customers must not book their own listed property unless a specific self-booking flow is enabled.

7. Service Requests and Service Pros

Service request features allow tenants, landlords, and other users to create a problem message, optionally attach media, browse nearby Service Pros, and forward the request to one or more selected providers. Service Pros may have multiple service skills, but each service type may require separate documents, permits, verification, approval, and status tracking. Submission of a Service Pro application does not guarantee approval, visibility, work, income, ranking, or customer selection. Quotes, work orders, provider profiles, reviews, and service outcomes remain the responsibility of the participating users and providers.

8. Payments, Plans, Credits, and Fees

Some features may require payment, plan subscription, credits, deposits, booking advance, service fees, provider fees, or other charges. Payment processing may be handled by third-party providers. All displayed amounts should be reviewed before submission. Credits, boosts, area-based pricing, subscriptions, discounts, refunds, payouts, and booking/service financial tools may vary by feature availability and backend support. NextHolder is not responsible for payment disputes caused by incorrect user information, off-platform payments, or third-party payment provider failure, except where required by law.

9. User Content, Messages, and Media

Users may create listings, messages, service request descriptions, booking purposes, reviews, complaints, lost-and-found reports, images, documents, and other content. You confirm that you have the right to upload and share this content and that it is accurate, lawful, non-abusive, and not misleading. We may remove or restrict content that violates these terms, harms users, impersonates others, discloses private information without authority, or creates legal or safety risk.

10. Prohibited Uses

Users may not use the platform for illegal activities, fraud, harassment, spam, fake listings, fake bookings, fake service requests, discriminatory conduct, unauthorized property listing, unauthorized document upload, payment circumvention, scraping, security bypass, account sharing for abuse, or interference with platform operations. Users may not intentionally create overlapping, misleading, or unavailable schedules or manipulate booking/service availability to harm other users.

11. Privacy, Security, and Session Handling

Your privacy is important to us. We collect and process account, property, booking, service, payment, location, device, and communication data as needed to operate the platform. Users should log out from shared devices. If an authentication session expires or becomes invalid, the platform may automatically log the user out or require a new login. We use reasonable security measures, but no system can guarantee absolute security.

12. Availability, Demo Data, and API-Dependent Features

Some features may use demo data, temporary frontend data, staged API contracts, or partially connected backend services while the MVP is being developed. Public pages, dashboards, provider previews, reports, graphs, booking availability, service bidding, complaints, discounts, profile transfer, and other advanced tools may change as backend APIs are completed. We may modify, pause, hide, or remove features without notice when necessary for security, accuracy, compliance, or product stability.

13. Limitation of Liability

NextHolder provides a technology platform and does not guarantee property quality, ownership authority, tenant suitability, buyer suitability, booking outcomes, provider quality, service outcomes, legal inheritance/transfer validity, payment success, or the conduct of any user. To the maximum extent permitted by law, NextHolder is not liable for indirect, incidental, special, consequential, or lost-profit damages. Our total liability is limited to the amount paid directly to NextHolder for the relevant service in the preceding 12 months.

14. Suspension and Termination

We may suspend, restrict, or terminate accounts, listings, bookings, provider applications, service skills, messages, or access to features if we believe there is a violation of these terms, security risk, fraud risk, legal risk, unpaid fee, or misuse of the platform. Upon termination, your right to use the affected features stops immediately, but obligations related to payments, disputes, liability, data, and legal compliance may continue.

15. Changes to Terms

We may modify these terms as the platform evolves. Changes become effective when posted unless a later date is stated. Continued use of NextHolder after changes means you accept the updated terms. We may notify users of material changes by platform notice, email, or other reasonable method.

16. Governing Law

These terms are governed by the laws of Bangladesh. Any disputes will be resolved in the courts of Bangladesh unless another legally required forum applies. If any provision is found unenforceable, the remaining provisions remain in effect.
